# The Questions Every Buyer Will Ask (and How Ready You Are)

The questions every buyer asks before acquiring a trades company, from HVAC and plumbing to roofing, landscaping, and pest control, and a free Exit Readiness Scorecard to see how your business stacks up.

Before buying a trades company, buyers ask about six areas: owner dependence, recurring revenue, financial quality, team and leadership, customer and revenue risk, and documented systems. Answering those questions honestly two to three years before a sale shows owners where value is leaking and what to fix first. The Blue Collar Coaches Exit Readiness Scorecard is built around the questions buyers actually ask.

Buyers don't show up with a crystal ball.

They show up with a list.

The same questions, in roughly the same order, every time. The owners who've answered them before the buyer asks get paid more. The ones hearing them for the first time across the table get surprised. And surprises cost money.

In the Exit Planning Institute's 2023 research, only [60% of owners had had their business formally valued in the past two years](https://project-equity.org/news/employee-ownership-insider/business-owner-statistics-exit-planning/). That leaves a lot of owners guessing.

Here's the list. Answer honestly.

### Owner dependence

- Could the company run for two weeks without you?
- Do customers ask for you by name?
- Who quotes the big jobs?

### Recurring revenue

- What share of revenue comes from maintenance agreements or contracts?
- What's your renewal rate?

### Financial quality

- Do you close your books every month?
- Can you document every add-back?
- Do you know your gross margin by service line?

### Team and leadership

- Is there a general manager or operations leader in place today?
- Who's your number two, and do they know it?

### Customer and revenue risk

- Does any one customer or builder drive a big share of revenue?
- How much of last year came from one-time events, like a storm?

### Systems

- Are pricing, dispatch, and hiring written down?
- Could a new hire follow them without calling you?

### How to read your answers

Every "no" or "not sure" isn't a failure. It's a lever.

The owners who sell well aren't the ones with perfect answers. They're the ones who found their gaps early and fixed the expensive ones first.

### Why I built a scorecard instead of a sales pitch

I'm not a salesperson. I'm a diagnostician.

You wouldn't let a tech replace a compressor, a panel, or a roof without a diagnosis. Your business deserves the same. The scorecard is the diagnosis. What you do with it is up to you.

### FAQ

**What questions do buyers ask when buying a trades business?** Buyers typically ask about owner dependence, recurring revenue, quality of financials, the management team, customer concentration, and documented systems. Each one tells them how much risk they're taking on.

**How do I know if my business is ready to sell?** A business is generally ready when it can run without the owner, has predictable recurring revenue, has clean and documented financials, and has a leadership team in place. An exit readiness assessment shows where the gaps are.

**What is an exit readiness assessment?** An exit readiness assessment scores a business against the factors buyers use to set price and terms. It helps owners find and fix value gaps before going to market.
