Key-person risk lowers the value of trades companies, from HVAC and plumbing to roofing, landscaping, and pest control. Here's how buyers see your star technician or manager, and how to protect your value without losing them.

Key-person risk is the chance that losing one employee would hurt revenue or operations. In a trades business, it's often the top technician, the lead estimator, or the office manager who runs everything. Buyers discount for it. The fix is to document what that person knows, build a second-in-command, and tie the key people to the company's future with retention agreements or incentives.

---

Every shop has one.

The tech who can diagnose anything. The crew lead who can run any job site. The one customers ask for by name. The one who closes the replacement while the other guys are still looking for the model number.

You love that person. You should.

A buyer looks at the same person and sees risk.

### How a buyer thinks about your star

The buyer's question is simple: *what happens to revenue if this person quits the week after closing?*

If the answer is "a lot," they protect themselves. Lower price. Retention escrow. An earnout tied to that person staying. Sometimes they walk away entirely.

It doesn't matter that he's been loyal for 15 years. He's been loyal to *you*. You're the one leaving.

### The three key people buyers look for

1. **The rainmaker.** Sells most of the high-ticket jobs. If they leave, the closing rate drops.
2. **The brain.** Knows the systems, the pricing, the commercial accounts. Nothing is written down.
3. **The glue.** Usually in the office. Runs dispatch, billing, and the owner's calendar. Everyone calls them when something breaks.

Most owner-run shops have at least two of these. Plenty have all three in one person.

### How to fix it without losing them

- **Get it out of their head.** Price books, diagnostic checklists, sales steps, and account notes. Make the knowledge belong to the company.
- **Build a bench.** Every key person trains a number two. Pay them for it. Make it part of their scorecard.
- **Give them a reason to stay through a sale.** A retention bonus, a stay agreement, or a long-term incentive plan. The good ones should win when the company wins.
- **Talk to them.** This is where most owners flinch. Your key people already sense something. Candor builds trust. Silence builds rumors.

### The people side

My coaching starts with the person, not the problem. Your key people aren't line items. They're the reason you built something worth selling. Treat the transition like it affects their family, because it does.

### The move

Write down the names of the three people you couldn't lose. Next to each, write what walks out the door with them. That list is your plan for the next 12 months.

### FAQ

**What is key-person risk in a business sale?** Key-person risk is the potential loss of value if a critical employee leaves. Buyers assess it by asking how much revenue, knowledge, or customer loyalty depends on one person.

**How do I reduce key-person risk in my trades company?** Document what key people know, train a backup for every critical role, spread customer relationships across the team, and use retention bonuses or incentive plans to keep top people through a sale.

**Should I tell my key employees I'm planning to sell?** Usually yes, at the right time and with a plan. Key people who are surprised by a sale are more likely to leave. Retention agreements and clear communication protect both the employee and the deal.
